Please read these terms carefully before using APS Payment Solutions services.

These Terms and Conditions ("Terms") govern your use of payment processing services provided by APS Payment Solutions. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Agreement to Terms
By accessing or using APS Payment Solutions services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.
These terms constitute a legally binding agreement between you (the "Merchant") and APS Payment Solutions ("APS"). Please read them carefully before using our services.
2. Services Provided
APS provides payment processing services including:
• EFTPOS terminal solutions and merchant services
• Online payment gateway and integration services
• Recurring payment and direct debit services
• Point-of-sale (POS) systems and software
• Related payment processing technologies
We reserve the right to modify, suspend, or discontinue any service with reasonable notice.
3. Merchant Obligations
As a merchant using APS services, you agree to:
• Provide accurate and complete business information
• Maintain valid bank account details for settlements
• Comply with all applicable laws and regulations
• Use services only for legitimate business purposes
• Protect your account credentials and security
• Report any unauthorized use or security breaches immediately
• Maintain adequate records of all transactions
• Not engage in fraudulent or illegal activities
Failure to comply may result in service suspension or termination.
4. Fees and Payments
Merchant agrees to pay all applicable fees as outlined in the merchant agreement:
• Transaction processing fees (based on volume and payment type)
• Any additional service fees as agreed upon
• Chargeback fees and disputed transaction costs
• Early termination fees (if applicable)
Fees are automatically deducted from your settlements. We reserve the right to adjust fees with 30 days notice. Current fee schedules are provided in your merchant agreement.
5. Transaction Processing
APS will process transactions subject to:
• Availability of funds from the cardholder
• Compliance with card network rules
• Verification and fraud prevention checks
• Technical system availability
Settlement timing is typically 1-2 business days but may vary. We reserve the right to hold funds or delay settlement if we suspect fraudulent activity or policy violations.
6. Chargebacks and Disputes
Merchants are responsible for all chargebacks and disputes:
• Chargeback fees apply as per your merchant agreement
• Merchants must respond to disputes within specified timeframes
• APS may debit your account for chargeback amounts
• Excessive chargebacks may result in account review or termination
• Merchants should maintain transaction records for dispute resolution
We provide tools and support to help manage and prevent chargebacks.
7. Data Security and Compliance
Merchants must comply with:
• Payment Card Industry Data Security Standard (PCI DSS)
• Australian Privacy Principles
• Anti-Money Laundering and Counter-Terrorism Financing regulations
• All applicable payment network rules
APS provides PCI-compliant solutions, but merchants remain responsible for their own compliance obligations. We may conduct compliance audits as required.
8. Prohibited Activities
Merchants may not use APS services for:
• Illegal goods or services
• Fraudulent or deceptive activities
• High-risk or regulated industries without prior approval
• Adult content or services
• Gambling (without appropriate licenses)
• Money laundering or terrorist financing
• Violating intellectual property rights
• Any activity that violates card network rules
Violation may result in immediate termination and legal action.
9. Limitation of Liability
To the maximum extent permitted by law:
• APS is not liable for indirect, incidental, or consequential damages
• Our liability is limited to the fees paid by you in the preceding 12 months
• We are not responsible for losses due to system downtime, unless caused by our negligence
• We are not liable for actions of third-party service providers
• Nothing in these terms limits liability for fraud, gross negligence, or death/injury
Some jurisdictions do not allow certain liability limitations, so these may not apply to you.
10. Termination
Either party may terminate this agreement:
• By providing 30 days written notice
• Immediately for material breach of terms
• If required by law or card network rules
• For excessive chargebacks or suspicious activity
Upon termination:
• All outstanding fees become immediately due
• Access to services will be discontinued
• Settlement of pending transactions will be completed
• We may retain records as required by law
11. Modifications to Terms
APS reserves the right to modify these terms:
• We will provide 30 days notice of material changes
• Notice will be sent via email to your registered address
• Continued use after changes constitutes acceptance
• You may terminate if you disagree with changes
We recommend reviewing these terms periodically for updates.
12. Governing Law
These terms are governed by the laws of Australia:
• Disputes will be resolved in Australian courts
• Both parties submit to the jurisdiction of Australian courts
• If any provision is found invalid, remaining provisions continue
• These terms constitute the entire agreement between parties
For dispute resolution, we encourage mediation before litigation.
